Job Description
Required Education:

• Bachelor's Degree in Business or related field or a combination of experience, education and training



Required Skills/Attributes:

• Excellent communication skills, experience in and knowledge of contract law, Negotiation skills, Project management, effective stakeholder management, drives for results

• Thorough knowledge of project, program, or contract management

• Excellent verbal and written communication skills and the ability to develop and manage relationships with both internal and external contacts

• 5-8 years experience in program, or contract management



Contracts Manager Day-to-Day Responsibilities/Workload:

• Manage a portfolio of supplier/third-party relationships and contracts from initial supplier engagement through contract execution and termination

• Act as primary point of contact to supply chain management and RSO

• Prepare and assemble complete procurement request package for purchase order or change order requests

• Initiate and oversee new contract (Master Agreement, SOWs, etc.) and change order efforts

• Collaborate with cross-functional teams including Procurement, Legal, IT, etc. to draft and review contracts including pricing, risk items, and other terms and conditions

• Work on RFx/Competitive Bid efforts in partnership with Procurement/Supply Management, including gathering and drafting of requirements in a statement of work, supplier response reviews, providing inputs on evaluations and selection/award decisions

• Prepare internal reports capturing status/updates on competitive bid and/or contracting efforts

• Lead meetings, develops agendas, summarize, and document decisions and action items

• Resolve billing, operational, and contractual issues related to outsourcing efforts

• Recommend outsourcing solutions to address operational needs

• Support audits and/or data requests by researching and analyzing information, policies, and procedures

• Occasionally, manage and track the status of supplier work performance against tasks and project milestones in SOWs

• Initiate, lead, or participates in cross-functional teams to identify and implement process improvements

• Facilitate Invoice / Payment approvals and release and provide forecast spend for vendors

• Provide functional direct to senior specialist (analyst supporting contract advisement)

• Coordinate on-boarding of new resources for new / changed purchase orders

• Review, draft, and negotiate commercial, internet and ecommerce related contracts primarily consisting of online advertising insertion orders, consulting services agreements, statements of work, marketing and promotion agreements, non-disclosure agreements, recruiting agreements and other commercial agreements

• Interpret and draft contractual language for the agreements listed above incorporating legal and business concepts

• Maintain a proficient working understanding of the Companys day-to-day functions and the Companys products and services

• Analyze contracts, conduct research and respond to complex questions on provisions of specific agreements

• Ensure that the Companys corporate policies and directives are vetted and incorporated into contractual documents

• Review contracts for acceptable terms and negotiate changes as appropriate

• Determine whether contract requests which vary from the established standards can be accepted or require additional authorization

• Direct business colleagues in obtaining any necessary approval(s) for non-standard contractual request made by customer. Monitor the approval(s) from the appropriate subject matter experts and release agreement when all approvals are received

• Update, maintain and ensure the accuracy of an internal contract management system, assist department staff with various contract-related projects and handle all administrative aspects of contract processing

• Monitor contract expirations and pursue contract renewal, where appropriate

• Work closely with team on all revisions to contract templates

• Serve as primary liaison among various Company departments to ensure timely and accurate completion of contractual documents and field cross-departmental questions

• Ensure compliance with financial policies (including revenue recognition), evaluate pertinent business and financial requirements and integrate complex negotiation terms leading to the establishment of appropriate terms and conditions

• Upload all signed agreements to contract management system

• Legal-related tasks, as assigned

• Special projects, as requested
